Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Samskit platform, including our website, web application, and all related services (collectively, the "Service"), operated by Offload Tecnologia Ltda. ("Samskit," "we," "our," or "us"), a company incorporated in Brazil.

By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use the Service.

  1. Definitions
    • "Customer" means the company or individual that has purchased a Samskit subscription
    • "User" means any individual authorized by the Customer to access the Service
    • "Customer Data" means any data uploaded to or generated within the Service by or on behalf of the Customer, including call recordings, transcripts, CRM data, and summaries
    • "Service" means the Samskit platform and all associated features, tools, and integrations

  2. Eligibility and Account Registration
    To use the Service, you must:
    • Be at least 18 years old
    • Have the legal authority to enter into a binding contract in your jurisdiction
    • Not be prohibited from using the Service under applicable law

You are responsible for maintaining the security of your account credentials. Notify us immediately at support@samskit.com if you suspect unauthorized access to your account. We are not liable for any loss resulting from unauthorized account access that results from your failure to protect your credentials.

  1. Subscription, Billing, and Cancellation
    3.1 Plans and Pricing
    Samskit offers subscription plans billed on a monthly or annual basis. Current pricing is available at samskit.com/pricing. We reserve the right to change pricing with at least 30 days' notice to existing subscribers.

3.2 Free Trial
We may offer free trials for a limited period. At the end of the trial, your account will require a paid subscription to continue. We will notify you before the trial ends.

3.3 Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing cycle. We do not issue refunds for partial billing periods, except where required by applicable law.

3.4 Non-Payment
If payment fails, we will notify you and grant a grace period of 7 days to resolve the issue. If payment remains unresolved, we may suspend or terminate access to the Service.

  1. Acceptable Use
    You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
    • Record calls without the required notice or consent of all participants, as required by applicable law in your jurisdiction
    • Use the Service to harass, defame, or harm any individual
    • Attempt to reverse engineer, decompile, or extract the source code of the platform
    • Use automated scripts to access or interact with the Service in an unauthorized manner
    • Share your account credentials with unauthorized third parties
    • Upload or transmit malware, viruses, or any harmful code
    • Resell or sublicense access to the Service without written authorization from Samskit
    • Use the Service to build a competing product or to benchmark the Service for competitive purposes without our consent

Samskit reserves the right to suspend or terminate accounts that violate these restrictions without prior notice.

  1. Call Recording - Customer Responsibility
    Samskit provides call recording functionality that operates by adding a bot participant to your scheduled meetings. You acknowledge and agree that:
    • You are solely responsible for compliance with all applicable laws governing the recording of communications, including consent and notice requirements in your jurisdiction
    • In some jurisdictions (including certain states in the US and other countries), recording a call requires the consent of all participants ("two-party" or "all-party" consent laws)
    • You are responsible for informing all call participants that the call is being recorded and obtaining any required consent before using Samskit's recording features
    • Samskit is not liable for your failure to comply with applicable recording laws

Samskit recommends consulting with legal counsel to confirm recording consent requirements in all jurisdictions where you operate.

  1. Integrations with Third-Party Services
    Samskit integrates with third-party platforms including HubSpot, Salesforce, Google Calendar, Slack, Gmail, and Outlook ("Third-Party Services"). By enabling an integration, you authorize Samskit to access and interact with your data in those platforms on your behalf.

Your use of Third-Party Services is governed by those services' own terms and privacy policies. Samskit is not responsible for the availability, accuracy, or actions of Third-Party Services.

  1. Ownership of Data
    7.1 Customer Data
    You and your organization retain full ownership of all Customer Data - including call recordings, transcripts, summaries, and CRM data - at all times. We do not claim any intellectual property rights over your Customer Data.

7.2 License to Samskit
By using the Service, you grant Samskit a limited, non-exclusive license to access and process Customer Data solely for the purpose of providing and improving the Service. We do not use Customer Data to train AI models for use by other customers, and we do not sell Customer Data to third parties.

7.3 Samskit Platform
The Samskit platform - including its software, algorithms, models, design, and documentation - is owned by Offload Tecnologia Ltda. and is protected by applicable intellectual property laws. Nothing in these Terms grants you any rights in the Samskit platform other than the right to use the Service as described herein.

  1. Confidentiality
    Each party agrees to treat the other party's confidential information with reasonable care and not to disclose it to third parties without prior written consent. "Confidential information" includes Customer Data, product roadmaps, pricing, and any information marked as confidential or that a reasonable person would consider confidential.

This obligation does not apply to information that: (a) was already publicly known, (b) was independently developed, (c) was lawfully obtained from a third party, or (d) must be disclosed by law.

  1. Disclaimer of Warranties
    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAMSKIT DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, uninterrupted, or that AI-generated content (including summaries, CRM suggestions, and follow-up drafts) will be accurate or suitable for any particular purpose. You are responsible for reviewing all AI-generated outputs before acting on them.

  1. Limitation of Liability
    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAMSKIT'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO SAMSKIT IN THE 12 MONTHS PRECEDING THE CLAIM.

IN NO EVENT WILL SAMSKIT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

These limitations do not apply where prohibited by applicable law (including Brazilian consumer protection law — Lei no. 8.078/1990, Código de Defesa do Consumidor).

  1. Indemnification
    You agree to indemnify and hold harmless Samskit and its employees, directors, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your violation of these Terms; (b) your violation of any applicable law, including recording consent laws; (c) your Customer Data; or (d) your use or misuse of the Service.

  2. Suspension and Termination
    We may suspend or terminate your access to the Service if:
    • You violate these Terms
    • Your account is involved in fraudulent or illegal activity
    • Required by law or to protect the rights and safety of others

You may terminate your account at any time by cancelling your subscription and contacting support@samskit.com. Upon termination, your data will be retained for 30 days before deletion, during which you may export it. After 30 days, data will be permanently deleted, except where retention is required by law.

  1. Service Availability
    We aim to maintain a high level of availability for the Service. However, we do not guarantee uninterrupted access and are not liable for downtime caused by scheduled maintenance, third-party infrastructure failures, or events outside our reasonable control (force majeure).

Planned maintenance will be communicated at least 48 hours in advance where possible. For the latest status of the Service, visit status.samskit.com.

  1. Modifications to the Service and Terms
    We may update these Terms at any time. For material changes, we will provide at least 30 days' notice via email or in-app notification. Your continued use of the Service after the effective date of updated Terms constitutes acceptance.

We may also modify or discontinue features of the Service with reasonable notice. We will not reduce core Service capabilities without a transition period of at least 60 days for paying subscribers.

  1. Governing Law and Dispute Resolution
    These Terms are governed by and construed in accordance with the laws of Brazil, without regard to conflict of law principles.

Any dispute arising out of or related to these Terms or the Service will first be subject to good-faith negotiation for 30 days. If unresolved, disputes will be submitted to the courts of the District of São Paulo, State of São Paulo, Brazil, which you agree is an appropriate and convenient forum.

For users located in the European Economic Area: this does not affect your statutory rights under applicable EU law, and you may also bring claims before the courts in your country of domicile.

  1. General
    • Entire Agreement: These Terms, together with our Privacy Policy and any applicable Order Form or Subscription Agreement, constitute the entire agreement between you and Samskit with respect to the Service
    • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force
    • No Waiver: Failure to enforce any provision of these Terms is not a waiver of our right to enforce it later
    • Assignment: You may not assign your rights under these Terms without our prior written consent. Samskit may assign these Terms in connection with a merger or acquisition
    • Language: These Terms are written in English. In case of conflict with any translated version, the English version prevails
